General Provisions

These Terms and Conditions govern all sales, deliveries, and services offered through the GO Innovations website (goinnovations.eu) or via email communication, specifically tailored for customers purchasing orthodontic appliances. These terms apply exclusively, and any conditions proposed by the customer which conflict with or deviate from our terms will not be recognized unless expressly agreed in writing.

1. Initiation of Contractual Agreement

1.1 The product information and listings on goinnovations.eu are provided to invite potential buyers to make purchase proposals; they do not constitute binding sales offers. This approach allows you to submit orders based on displayed product details, which we reserve the right to accept.1.2 By submitting an order through our website or via email, you are extending a binding proposal for a purchase agreement. We will acknowledge your order by sending an electronic confirmation. This acknowledgment does not constitute acceptance of your proposal. A legally binding contract is only formed once we explicitly accept your order through a separate order confirmation email.This version changes the structure and wording to provide clear terms about how contracts are initiated on your platform, emphasizing the non-binding nature of initial product listings and the process for forming a contract.

2. Prices and Conditions

2.1 The prices stated on our website are in Euros and exclude VAT and shipping costs, unless otherwise noted. Delivery terms are EX WORKS (Incoterms 2020) from our facilities.

2.2 Transport costs and potential taxes or tariffs for shipments outside of the EU, if applicable, will be communicated to the customer and will be the customer’s responsibility.

3. Payment Terms

3.1 Payment may be required in advance, especially for first-time orders or orders from outside the EU. Payment methods accepted include PayPal, credit card, and direct bank transfer. No discounts will be offered unless specifically agreed in writing.

3.2 The full payment amount must be received and confirmed in our account before the delivery of any goods. We do not accept cheques or bills of exchange.

4. Delivery

4.1 Delivery dates mentioned are estimates and are not guaranteed. Delivery obligations may be subject to changes due to unforeseen circumstances beyond our control.

4.2 We reserve the right to make partial deliveries if doing so would not adversely affect the agreed upon use of the goods.

5. Risk Transfer

5.1 The risk of loss or damage to the goods shall pass to the customer once the goods leave our facility, in accordance with EXW (Incoterms 2020).

5.2 If shipment is delayed due to reasons attributed to the customer, the risk passes to the customer on the date the goods are ready for dispatch and we will store the goods at the customer's expense.

6. Warranty and Complaints

6.1 The warranty period for our products is one year from the date of delivery. This warranty covers defects in manufacture and materials under normal use.

6.2 Any claims for defects must be made in writing within 7 days of receipt of the goods. Hidden defects must be reported as soon as they are discovered.

7. Liability

7.1 Our liability for damages, under any legal theory, is limited to intentional or grossly negligent acts. Otherwise, our liability for damages is limited to the typical, foreseeable damages.

7.2 We disclaim liability for minor negligence, except in cases of breach of essential contractual obligations.

8. Intellectual Property

All content on goinnovations.eu is the exclusive property of GO Innovations and is protected by intellectual property laws. Use of any content from our site without express written permission is strictly prohibited.

9. Data Protection

We adhere to strict data protection policies. Customer data will be used solely for processing orders and will only be shared with third parties to the extent necessary for goods delivery.

10. Jurisdiction

10.1 These Terms are governed by the laws of Hungary, particularly the Civil Code of Hungary (Act V of 2013 on the Civil Code) and Act CVIII of 2001 on certain issues of electronic commerce services and information society services.

10.2 Any disputes related to these Terms will be adjudicated in the courts of Hungary, unless otherwise required by applicable law.
